1. General Terms

Heirloom Treasures ("we," "us," or "our") operates the website www.heirloom-treasures.com ("Site") and provides related services (collectively, our "Services"). By accessing our website, placing an order, or using our Services, you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy.

Heirloom Treasures provides heritage preservation services, including, but not limited to, the digitization of photographs, documents, and other family memorabilia (collectively referred to as "materials"). We organize, restore, and digitize recipes and documents into digital materials ("Digitized materials") and format them for print into a cookbook, with the option to create an eBook version if desired, delivering the final product via digital formats, physical media, or other delivery methods as specified in your order.

2. Services Provided

2.1. Service Description

Our Services include:

Collection and cataloging of customer materials

• Professional digitization and restoration services
• Organization and metadata creation
• Digital delivery through various formats
• Cloud storage 
• Physical media creation (DVDs, thumb drives, print, etc.)
• Customer support and order tracking

2.2. Order Process

When you place an order ("Order"), we will send you a confirmation email with an order number that details Services to be performed. These Terms prevail over any other documentation, and we reserve the right to accept or reject any Order at our sole discretion.

2.3. Order Cancellation

We may cancel any Order without liability if:

• You violate these Terms
• You fail to make the required payment(s)
• You provide false information about the materials
• We determine, in our sole discretion, that we cannot fulfill the Order

3. Customer Obligations and Warranties

3.1. Material Ownership and Rights

By submitting materials to us, you represent and warrant that:

• Materials are not obscene, defamatory, threatening, or otherwise illegal
• You have the right to authorize our digitization services

3.2. Prohibited Materials

You may not submit materials that:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Contain hate speech, harassment, or discriminatory content
• Are obscene, pornographic, or inappropriate
• Could cause harm to individuals or property

4. Copyright and Intellectual Property

4.1. Work Made for Hire

In accordance with U.S. Copyright Law (17 U.S.C. § 101), our digitization services create a "work made for hire" relationship. 

Our Services constitute technical processing and preservation of your existing materials rather than creation of new copyrightable works. However, any original creative elements we add (such as digital restoration enhancements, custom arrangements, or original compilations) may be considered works made for hire owned by Heirloom Treasures.

4.2. License Grant

By using our Services, you grant us an exclusive license to:

• Access, process, and digitize your materials
• Create backup copies for processing purposes
• Display materials in your account interface
• Provide customer support related to your materials

4.3. Respect for Copyright

We respect intellectual property rights and expect our customers to do the same. We will respond to valid copyright infringement notices in accordance with the Digital Millennium Copyright Act (DMCA).

5. User Conduct and Account Rules

5.1. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

• Violate any applicable laws or regulations
• Infringe on others' intellectual property rights
• Engage in harassment, bullying, or hate speech
• Attempt to gain unauthorized access to our systems
• Distribute malware or engage in harmful activities
• Use our Services for commercial purposes without permission

5.2. Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use our Services in a manner that could harm our business or other users.

6. Shipping and Risk of Loss

6.1. Shipping Responsibilities

We do not provide shipping services. All shipping arrangements are between you and the shipping carrier. Risk of loss for your materials, transfers to us only when materials arrive at our facility and returns to you when we deliver materials to the shipping carrier.

6.2. Shipping Acknowledgment

BY SHIPPING MATERIALS TO US, YOU ACKNOWLEDGE THAT WE ARE NOT RESPONSIBLE FOR LATE, LOST, DAMAGED, OR MISDIRECTED SHIPMENTS.

7. Cancellation Policy

7.1. Order Cancellation Window

Customers may cancel their order within 5 days of the original purchase date. Cancellation requests received after this 5-day period cannot be accommodated.

7.1.1. How to Cancel Your Order

Please include your order number and the reason for cancellation in your request.

7.1.2. Cancellation Processing

• Cancellation requests will be processed within 2-3 business days of receipt
• You will receive email confirmation once your cancellation has been approved
• Refunds will be issued to the original payment method within 7-14 business days after cancellation approval.

7.1.3. Deposit Policy

All deposits paid are non-refundable. If you cancel your order within the 5-day cancellation window, you will receive a refund for the remaining balance only. The deposit portion of your payment will be retained by Heirloom Treasures regardless of when the cancellation occurs.

7.1.4. Items That Cannot Be Cancelled

Certain items may not be eligible for cancellation, including:

• Custom or personalized items that have entered production
• Items that have already shipped from our facility

7.1.5. Partial Cancellations

If you wish to cancel only part of a multi-item order, please specify which items you would like to cancel in your request. Partial cancellations are subject to the same 5-day timeframe.

7.1.6. Shipping Costs

• If your order has not yet been started, you may cancel the order, but the deposit is non-refundable, and your items will be shipped back. 
• If your order has already shipped original shipping costs are non-refundable and the order cannot be cancelled.
• Customers are responsible for return shipping costs for cancelled items

7.1.7. Important Notes

• Cancellation requests must be submitted by the original purchaser in writing,
• Gift orders can only be cancelled by the person who placed the order, and
• This cancellation policy does not affect your statutory rights as a consumer

8. Risk of Loss and Limitation of Liability

8.1. Inherent Risks

YOU UNDERSTAND THAT THERE ARE INHERENT RISKS IN SUBMITTING MATERIALS TO US, INCLUDING THE POSSIBILITY THAT MATERIALS MAY NOT BE RETURNED OR MAY BE RETURNED IN DIFFERENT CONDITION. BY PLACING AN ORDER, YOU ACCEPT THESE RISKS.

8.2. Claims Process

If you believe we have lost, damaged, or mismatched your materials, you must notify us within fifteen (15) days of receiving your returned materials. Failure to provide timely notice waives your right to file a claim.

8.3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIM RELATED TO YOUR MATERIALS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC ORDER IN QUESTION.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, EMOTIONAL DISTRESS, OR LOSS OF DATA.

9. Warranties and Disclaimers

9.1. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2. No Guarantee of Results

We make no warranties regarding the quality, accuracy, or completeness of digitized materials. Results may vary based on the condition and quality of original materials.

10. Privacy and Data Protection

10.1. Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.2. Data Security

We implement reasonable security measures to protect your materials and personal information, but no system is completely secure.

11. Payment Terms

11.1. Payment Obligations

You agree to pay all fees associated with your Order. Payment is due according to the terms specified at checkout

11.2. Auto-Renewal

Some services may automatically renew. You may cancel auto-renewal by contacting customer service before the renewal date.

11.3. Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect orders already placed and confirmed.

12. Indemnification

You agree to indemnify and hold harmless Heirloom Treasures and its employees from any claims, damages, or expenses arising from:

• Your violation of these Terms
•  Your materials or their content
• Your use of our Services
• Your violation of third-party rights

13. Dispute Resolution

13.1. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

13.2. Arbitration

Any disputes shall be resolved through binding arbitration rather than in court, conducted under the rules of the American Arbitration Association.

13.3. Class Action Waiver

You agree that any disputes will be resolved individually and not as part of a class action or other representative proceeding.

14. General Provisions

14.1. Entire Agreement

These Terms, together with our Privacy Policy and Service Contract, constitute the entire agreement between you and Heirloom Treasures.

14.2. Modifications

We may modify these Terms at any time by posting updated terms on our website. Your continued use of our Services constitutes acceptance of any changes.

14.3. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

14.4. Assignment

You may not assign your rights under these Terms without our written consent. We reserve the right to assign our rights at any time.

14.5. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, war, or government actions.
